These Terms of Service ("Terms") govern your access to and use of PracticeHound (the "Service"), a deal-screening tool operated by SMB Spark, LLC ("SMB Spark," "we," "us," or "our"). By purchasing access to, signing in to, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. What the Service is — and what it is not

PracticeHound is a screening tool. It computes financial metrics (such as debt-service coverage, valuation ranges, and estimated debt service) from figures you enter, applies a fixed set of rules, and produces a screening signal to help you decide whether a healthcare-practice acquisition lead is worth pursuing further.

The Service is informational only. It is not legal, financial, tax, accounting, lending, or investment advice, and it does not create any advisory, fiduciary, broker, or professional relationship between you and SMB Spark. Its outputs are screening signals, not recommendations or appraisals.

A favorable signal (for example, a result indicating a lead is "worth a closer look") means only that the lead passed an automated screen based on the unverified figures you entered — it does not mean a deal is good, sound, or advisable. You should treat skip signals as more reliable than favorable ones.

Before acting on any practice acquisition, confirm the numbers and the deal with qualified professionals — including an SBA-preferred lender and a healthcare attorney — and with your own accountant. The Service is a triage aid that may save you time; it is not a substitute for professional diligence.

2. Unverified data; no warranty of accuracy

The Service computes results from data you supply, which typically comes from unverified seller listings, teasers, or confidential information memoranda ("CIMs"). We do not verify, audit, or independently confirm any figure you enter or upload, and the accuracy of every output depends entirely on the accuracy of your inputs. Results may be incomplete, may rely on assumptions you set, and may change as you provide more information. You are solely responsible for verifying all figures before relying on them.

3. Eligibility and accounts

You must be at least 18 years old and using the Service for legitimate business purposes. Access is provisioned after payment and is tied to your email address through a passwordless sign-in link. Your account is for your individual use only. Do not share your account, sign-in link, or access with anyone else. You are responsible for activity that occurs under your account.

4. Payment, access term, and renewal

Access to the Service costs $9,900 (US dollars), charged one time, for a twelve (12) month access term. Payment is processed by Stripe; we do not store your full card details. Payments are processed by Stripe and billed by SMB Spark, LLC. The charge generally appears on your card or bank statement as SMBSPARK-PRACTICEHOUND, but the exact wording your financial institution displays may be shortened or reformatted.

Access does not auto-renew. When your twelve-month term ends, access converts to read-only. To regain full access, you may purchase a new term through the same checkout. We may change pricing for future purchases at any time; a price change does not affect a term you have already purchased.

5. Refunds

All sales are final and access fees are non-refundable. The sole exception: if we fail, due to a technical failure on our side, to provision the access you paid for, we will either correct the failure or refund your payment. Refunds are not available for any other reason, including dissatisfaction with screening results, change of mind, or non-use.

You represent that you have all rights necessary to upload and process the documents and data you submit.

7. Your content and data

You retain ownership of the documents and data you upload or enter ("Your Content"). You grant SMB Spark a limited license to process, store, and transmit Your Content solely to operate the Service for you — which includes sending Your Content to our third-party providers (see the Privacy Policy) to generate screening analysis. We do not sell Your Content. Our handling, retention, and deletion of Your Content are described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Data deletion

Your deal data and uploaded CIMs are permanently deleted approximately thirty (30) days after your access term expires, by an automated process. Your payment record is retained separately for bookkeeping, tax, and legal purposes. See the Privacy Policy for details. You are responsible for retaining your own copies of anything you wish to keep before deletion.

9. Intellectual property

The Service — including its software, design, rules, and content (excluding Your Content) — is owned by SMB Spark and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your access term, and nothing more.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SMB SPARK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMB SPARK AND ITS MEMBERS, MANAGERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST BUSINESS, LOST OPPORTUNITY, OR LOSS ARISING FROM ANY ACQUISITION DECISION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SMB SPARK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE AMOUNT YOU PAID TO US FOR THE ACCESS TERM IN WHICH THE CLAIM AROSE.

You acknowledge that the Service produces screening signals from unverified data, that you are solely responsible for verifying figures and for your own acquisition decisions, and that the pricing of the Service reflects this allocation of risk.

12. Indemnification

You agree to indemnify and hold harmless SMB Spark from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third party's rights — including any claim arising from documents or data you uploaded.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or misuse the Service. Sections that by their nature should survive termination — including Sections 2, 7, 8, 9, 10, 11, 12, and 14 — survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. The "Effective date" above reflects the current version. Material changes will be posted here; your continued use after changes take effect constitutes acceptance.
